Investor News: Issue of equity, Director/PDMR shareholdings and change to total voting rights

Brave Bison Group plc, announces that application has been made for the admission to trading on AIM of 29,365,257 new ordinary shares of 0.1p each in the Company (the “New Ordinary Shares”). The New Ordinary Shares have been issued pursuant to the exercise today of restricted stock units (“RSUs”) awarded to certain employees and directors in November 2017 under the Company’s RSU Plan and of options granted in connection with the acquisition of Base79 Ltd in 2014.

Of the RSUs exercised today, the Company’s executive directors have exercised 23,912,884 RSUs and therefore have today been issued New Ordinary Shares as follows:

The New Ordinary Shares rank pari passu in all respects with the Company’s existing ordinary shares and admission of the New Ordinary Shares to trading on AIM is expected to become effective on 8 February 2019 (“Admission”).

Total Voting Rights

Following Admission, the issued share capital of the Company will consist of 605,505,287 ordinary shares of 0.1p each (“Ordinary Shares”), with one voting right per share. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of Ordinary Shares and voting rights in the Company will be 605,505,287. From Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA’s Disclosure Guidance and Transparency Rules.
